The
current democratic dispensation in the country
has created several opportunities for the
firm to advise on various investment opportunities
in Nigeria. The foreign investment department
of the firm serves as the initial port of
call for companies who express an interest
in understanding the business climate in
Nigeria with a view to eventually setting
up shop in the country.
This
involves preliminary advice on the various
sectors of the nation's economy such as
oil and gas, telecommunications, power,
aviation, general trade, agriculture, commodities
etc. with a view to assisting the investor
with the necessary information in its particular
area of interest.
The
department further advises on the general
requirements for doing business in Nigeria
in compliance with Nigerian Company law
regulations. This involves the incorporation
of the company at the Corporate Affairs
Commission (the Nigerian Companies Registry)
and registration of the Company with the
Nigerian Investment Promotion Commission
(NIPC). Various start up documentation such
as Shareholders Agreements, Joint Venture
Agreements, Maintenance and Technical Agreement
etc are also drafted by the department where
necessary.
At
the initial stage of incorporation, all
the affairs of the company are handled by
this department. These include registration
with relevant regulatory authorities including
the Nigeria Immigration Services which regulate
employment of expatriates in the country,
the Nigerian Tax authorities and specialized
government agencies such as the Department
of Petroleum Resources. Other ancillary
services such as acquisition of initial
office and residential premises and telephone
lines are handled by members of this department
until the company is well established.
